Job Description

We are seeking an attorney with 5+ years of experience at a law firm and/or in-house with a corporate legal department. The attorney will report to the Associate General Counsel. Key responsibilities include, but are not limited to:

– Work alongside GEM’s investment team and outside counsel on legal review and negotiation of all underlying investments, including in other funds as well as direct investments
– Review and identify issues raised in offering documents and fund governing documents, including providing advice and judgment on variances from market terms, assessing suitability for GEM’s investment funds and recommending side letter provisions
– Supervise the completion of subscription documents for underlying investments
– Draft and negotiate of confidentiality and non-compete agreements
– Review and opine on MFN elections, amendments and other LP consents in connection with underlying investments
– Perform operational, legal, tax and commercial due diligence
– Assist with and advise on various aspects of U.S. investment adviser and CFTC/NFA registration and ongoing regulatory compliance
– Assist with legal onboarding of new GEM clients, including review of subscription documents and coordinating with outside counsel for related regulatory filings
– Provide counsel in connection with securities enforcement matters

Qualifications & Attributes

– 5+ years professional experience
– Commercial and practical legal judgment, with the ability to explain and advise clients on complex legal issues
– Investment management and fund formation experience preferred
– Familiarity with various types of structures preferred – private equity, hedge, venture, debt and mezzanine, real estate, funds of one, managed accounts, etc.
– Strong attention to detail, professionalism and organizational skills
– Proactive, with an ability to work both independently and in collaboration with a team
